The Gist

We (MellowTools LLC and MellowState LLC) provide tools for online resellers, including NotBot, a desktop application for automated label printing on Whatnot. We'd love for you to use our services, but there are some rules. By using our services, you agree to these terms.

These Terms of Service describe our mutual responsibilities. We've tried to keep the language simple and clear. If you have questions, reach out to us at admin@mellowstate.com.

1. Who's Who

Throughout these Terms, "you" refers to you, the person using our services. "We," "us," and "our" refer to:

• MellowState LLC: brand identity and community
• MellowTools LLC: software, platform, and NotBot

Both entities are affiliated and these Terms apply to services from either entity.

2. Your Account

To use our services, you'll need to create an account. Here's what you agree to:

• Provide accurate and complete information
• Keep your login credentials secure
• Notify us immediately if you suspect unauthorized access
• Accept responsibility for all activity under your account

You're solely responsible and liable for your use of our services and all activity under your account.

3. Minimum Age

Our services are not directed to children. You must be at least:

• 13 years old to use our services (or 16 if you're in Europe)
• 18 years old to enter into a paid subscription agreement

If you're under 18, a parent or guardian must agree to these Terms on your behalf.

4. Our Services

4.1 MellowState Platform

MellowState provides tools and services for online resellers, including:

• User accounts and authentication
• Subscription management
• Dashboards and analytics

4.2 NotBot

NotBot (operated by MellowTools LLC) is a desktop application that provides automated label printing for Whatnot auctions. It:

• Monitors Whatnot for completed auctions
• Automatically prints shipping labels
• Receives automatic updates to stay current with Whatnot changes

NotBot's functionality depends on Whatnot's platform. We cannot guarantee uninterrupted service if Whatnot changes their platform. You're responsible for maintaining compatible printers and hardware.

5. Fees, Payment, and Renewal

5.1 Paid Services

NotBot requires an active paid subscription. By subscribing, you agree to pay the fees associated with your selected plan. You authorize us to charge your payment method on a recurring basis.

5.2 Automatic Renewal

Subscriptions automatically renew until you cancel. You can cancel anytime through your account settings or by contacting us. Cancellation takes effect at the end of your current billing period.

5.3 Refunds

Refunds are provided only if required by law. In all other cases, all payments are final.

If you're in the European Union and purchase a subscription, you may have a right to withdraw within 14 days of purchase. However, if you begin using the service before the 14-day period ends, you waive your right to withdraw.

5.4 Taxes

You're responsible for any applicable taxes. Prices may or may not include taxes depending on your location.

5.5 Payment Failure

If we're unable to charge your payment method, we may suspend or terminate your access to paid services.

6. Things You Cannot Do

When using our services, you agree not to:

• Violate any applicable laws or regulations
• Infringe on anyone's intellectual property rights
• Provide false or misleading information
• Interfere with or disrupt our services or servers
• Attempt to gain unauthorized access to our systems
• Reverse engineer, decompile, or disassemble our software
• Share your account credentials with others
• Use the service for fraudulent purposes
• Circumvent payment requirements
• Use automated systems to abuse the service
• Resell or redistribute our services without permission

7. Intellectual Property

The services and all content, features, and functionality (including software, text, graphics, logos, and design) are owned by MellowState LLC, MellowTools LLC, or our licensors and are protected by intellectual property laws.

Subject to your compliance with these Terms and an active subscription, we grant you a limited, non-exclusive, non-transferable, revocable license to:

• Install and use the NotBot desktop application
• Access and use the web platform

This license terminates when your subscription ends or if you violate these Terms.

8. Third-Party Services

Our services integrate with third parties including:

• Stripe: payment processing
• Google/Apple: authentication (OAuth)
• Amazon Web Services: hosting and storage
• Whatnot: auction data

These third-party services have their own terms and privacy policies. We don't control them and aren't responsible for their availability, content, or practices.

9. Feedback

We appreciate your feedback, suggestions, and ideas. If you share feedback with us, you agree that we're free to use it without any restriction or compensation to you.

You agree to indemnify, defend, and hold harmless MellowState LLC, MellowTools LLC, and their officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising out of your use of our services or violation of these Terms.

13. US Economic Sanctions

You represent that you're not located in, or a resident of, any country subject to US trade sanctions, and you're not on any US government list of prohibited or restricted parties. You agree not to use our services in violation of any US export laws or sanctions.

14. Termination

14.1 By You

You can cancel your subscription anytime through your account settings. Your access continues until the end of your current billing period.

14.2 By Us

We may suspend or terminate your access at any time, with or without cause, with or without notice. Reasons may include:

• Violation of these Terms
• Fraudulent or illegal activity
• Non-payment
• Conduct that we believe is harmful to other users or our business

14.3 Effect of Termination

Upon termination, your right to use our services immediately ceases. Sections relating to intellectual property, disclaimers, limitation of liability, indemnification, and the miscellaneous provisions survive termination.

15. Governing Law and Disputes

These Terms are governed by the laws of the Commonwealth of Pennsylvania, United States, without regard to conflict of law principles.

Any disputes arising from these Terms or your use of our services will be resolved in the state or federal courts located in Pennsylvania, and you consent to the jurisdiction of those courts.

Class Action Waiver: You agree to resolve disputes with us on an individual basis. You waive any right to participate in a class action, class arbitration, or representative proceeding.

16. Changes to These Terms

We may modify these Terms from time to time. When we make significant changes, we'll notify you by updating the date at the top of this page and, where appropriate, by email.

Your continued use of our services after changes take effect means you accept the new Terms. If you don't agree, you should stop using our services.

17. Translation

These Terms were originally written in English. If we translate them into other languages and there's a conflict, the English version controls.

18. Miscellaneous

• Entire Agreement: These Terms, along with our Privacy Policy, constitute the entire agreement between you and us.
• Severability: If any part of these Terms is found unenforceable, the rest remains in effect.
• No Waiver: Our failure to enforce any provision doesn't waive our right to enforce it later.
• Assignment: You can't assign or transfer your rights under these Terms. We can assign ours without restriction.
• No Partnership: These Terms don't create any partnership, employment, or agency relationship between us.
• Force Majeure: We're not liable for delays or failures caused by circumstances beyond our reasonable control.
