Affiliate Program Terms

The Gist

Our affiliate program lets you earn a commission for referring new paying customers to NotBot. You share your unique referral link or promo code, and when someone you refer subscribes, you earn a percentage of what they pay. These Affiliate Program Terms describe how the program works and the rules you agree to as an affiliate.

These terms are in addition to our Terms of Service and Privacy Policy. By joining the program, you agree to all three. Questions? Reach us at affiliates@mellowtools.com.

1. Who's Who

Throughout these terms, "you" and "affiliate" refer to you, the person or business participating in the affiliate program. "We," "us," and "our" refer to MellowTools LLC, the company that operates NotBot and runs this affiliate program.

Our affiliate program is administered through PromoteKit, a third-party affiliate platform that handles referral tracking, reporting, and payouts. By joining, you also agree to PromoteKit's own terms of service.

2. Joining the Program

To participate, you must register through our affiliate platform and have your application accepted. We may accept or decline any application at our discretion. To be eligible, you agree to:

• Provide accurate, complete registration and payment information
• Be at least 18 years old
• Keep your account credentials secure
• Comply with these terms, our Terms of Service, and all applicable laws

Participation is personal to you. You may not transfer or assign your affiliate account without our written permission.

3. Referral Links and Promo Codes

When your application is accepted, you receive a unique referral link and may receive a unique promo code. When a visitor clicks your link, a tracking cookie is placed in their browser. If that visitor subscribes to a paid plan within 30 days of the click, the referral is credited to you.

Referral tracking depends on the visitor's browser accepting cookies and completing checkout on the same site where they arrived through your link. Referrals can be lost if a visitor clears cookies, uses a different browser or device, or moves across our different sites before subscribing. We track referrals on a best-effort basis using our affiliate platform, and the platform's records are the authoritative source for attribution.

If both a referral link and a promo code could apply to the same purchase, attribution follows our affiliate platform's standard rules.

4. Commissions

4.1 Commission Rate

You earn 15% of the subscription payments made by customers you refer, recurring for as long as the referred customer maintains an active paid subscription. Commission is calculated on the net amount actually paid to us, after any discounts or promo codes applied at checkout and excluding taxes, payment processing fees, refunds, and chargebacks.

4.2 When Commissions Are Earned

A commission is earned only when a referred customer's payment successfully clears and is not reversed. Free trials, unpaid signups, and canceled-before-payment signups do not earn a commission until and unless a real payment is collected.

4.3 Refunds, Chargebacks, and Reversals

If a referred payment is refunded, charged back, or otherwise reversed, the related commission is canceled and deducted from your balance. We may withhold or reverse commissions we reasonably believe are connected to fraud, abuse, or a violation of these terms.

4.4 Self-Referrals

You may not earn commissions on your own subscription or on purchases you make for yourself, your own accounts, or accounts you control. Self-referrals are not eligible and may result in removal from the program.

5. Payouts

Payouts are processed through our affiliate platform, subject to these terms:

• Minimum balance: your earned, confirmed balance must reach at least $25 USD before a payout is issued. Balances below the minimum roll over to the next period.
• Schedule: payouts are issued monthly, approximately 30 days after the end of the month in which the commission was confirmed. This holding period lets refund and chargeback windows close before funds are released.
• Method and details: you are responsible for providing and maintaining accurate payout details in the affiliate platform. We are not responsible for payments delayed or lost due to incorrect information.
• Currency: commissions are calculated and paid in US dollars.
• Eligibility: we can only pay affiliates in jurisdictions where we are legally permitted to do so. You must not be located in, or a resident of, any country subject to US trade sanctions, and you must not be on any US government list of prohibited or restricted parties.
• Unclaimed payouts: when a payout cannot be completed due to missing or incorrect details, the balance may be forfeited if you do not correct them within a reasonable time after we ask.

You are solely responsible for any taxes owed on commissions you receive. We may require tax documentation before issuing payouts where the law requires it.

6. How You May Promote Us

We want honest, helpful promotion. You agree to:

• Clearly disclose your affiliate relationship with us wherever required, including under the US FTC endorsement guidelines
• Describe NotBot and our services accurately and avoid misleading claims
• Promote only through channels and content you own or are authorized to use

You agree not to:

• Bid on our brand names, trademarks, or common misspellings in paid search, or run ads that send traffic directly through your referral link in a way that competes with our own advertising
• Use spam, unsolicited email or messages, or bots to distribute your link or code
• Make false, deceptive, or unsubstantiated claims, including about earnings, results, or platform endorsements
• Offer unauthorized cash rebates or incentives in exchange for using your link or code
• Post your referral link or promo code on third-party coupon, deal, or discount sites
• Mask or alter the referring URL, or deliver referrals through pop-ups, hidden frames, iframes, or similar mechanisms
• Register domains, social handles, or app names that impersonate or could be confused with us
• Generate referrals through fraud, cookie stuffing, fake accounts, or any artificial or automated means
• Suggest that any live selling platform, including Whatnot, eBay, or Poshmark, endorses, sponsors, or approves NotBot

7. Use of Our Brand

We grant you a limited, non-exclusive, revocable license to use our name, logos, and approved marketing materials solely to promote our services under these terms. You may not modify our logos or use our brand in any way that is misleading or implies a partnership beyond the affiliate relationship. All goodwill from your use of our brand belongs to us, and this license ends when your participation in the program ends.

8. Confidentiality

As an affiliate you may receive non-public information about the program, such as commission rates, program guides, reporting data, and unreleased plans. You agree to keep this information confidential, to use it only to participate in the program, and not to disclose it to others without our permission. This obligation continues after your participation ends.

9. Independent Relationship

You are an independent participant, not our employee, agent, partner, or joint venturer. You have no authority to make commitments on our behalf, and these terms do not create any employment or partnership relationship. You are responsible for your own expenses and conduct as an affiliate.

10. Changes to the Program

We may change the commission rate, attribution window, payout terms, or any other part of the program at any time. When we make significant changes, we will update the date at the top of this page and, where appropriate, notify you. Changes apply going forward and do not reduce commissions already earned and confirmed before the change. Your continued participation after a change means you accept the updated terms.

11. Termination

11.1 By You

You can leave the program at any time by closing your affiliate account or contacting us. Confirmed commissions above the minimum payout threshold remain payable on the normal schedule.

11.2 By Us

We may suspend or end your participation, withhold pending commissions, or close the program at any time, with or without cause. If we end your participation because of fraud, abuse, or a violation of these terms, you forfeit any unpaid commissions.

11.3 Effect of Termination

When your participation ends, your referral links and codes stop earning new commissions, and your license to use our brand ends. Sections on commissions already earned, disclaimers, limitation of liability, and indemnification survive termination.

You agree to indemnify, defend, and hold harmless MellowTools LLC and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising out of your promotional activities, your content, or your violation of these terms or any law.

15. Governing Law and Disputes

These terms are governed by the laws of the Commonwealth of Pennsylvania, United States, without regard to conflict of law principles. Any disputes will be resolved in the state or federal courts located in Pennsylvania, and you consent to the jurisdiction of those courts.

Class Action Waiver: You agree to resolve disputes with us on an individual basis and waive any right to participate in a class action, class arbitration, or representative proceeding.
